1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of the SignalBridge website (the "Site"), desktop application, APIs, license activation services, download services, and related functionality (collectively, the "Service"). By installing, accessing, purchasing a license, downloading the installer, or interacting with any component (including TradingView → MetaTrader automation and Telegram integrations), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and SignalBridge. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity. You must be at least 18 years old to use the Service.

2. License Grant & Scope

Upon successful activation (trial or paid), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, single-user license to install and run the SignalBridge desktop software solely for your internal, personal, or business trading operations, strictly in accordance with these Terms and your selected license limits (webhooks, devices, and duration). This license is personal to you and may not be shared, transferred, assigned, or sublicensed to any third party. You may not permit others to access or use the Service through your account or license key.

  • 14-Day Trial License: Time-limited with full feature access. One trial per user. Includes 1 webhook and 1 device activation.
  • Monthly License (30-Day): One-time payment for 30-day access with 3 webhooks and 2 device activations. Renew anytime on your terms.
  • Yearly License (365-Day): One-time payment for 365-day access with 3 webhooks and 3 device activations. Best value for active traders.
  • Lifetime License: One-time payment for permanent access with 5 webhooks and 5 device activations. Never expires for the current major product line.
  • No Auto-Renewal: All licenses are one-time payments. No automatic billing or recurring charges. Renew manually when needed.
  • Device Activations: Managed through our license system; exceeding limits may require deactivation of older devices before activating new ones.
  • Single-User License: Each license is granted to a single individual or entity. Sharing license keys, account credentials, or providing access to unauthorized users is strictly prohibited and constitutes a material breach.
  • Internal Use Only: The Service is licensed for your internal trading operations only. You may not use the Service to provide services to third parties, operate a trading service, or resell access.
  • No Transfer: Licenses are non-transferable. You may not sell, lease, rent, or otherwise transfer your license to another party without our prior written consent.

3. Acceptable Use & Prohibited Conduct

You agree NOT to:

  • Circumvent license limits (device, webhook, or duration restrictions).
  • Reverse engineer, disassemble, scrape internal APIs, or decompile components except where permitted by law.
  • Resell, sublicense, lease, or provide shared access to third parties.
  • Use the Service to transmit malicious code or abuse trading platforms.
  • Automate strategies in violation of TradingView, MetaTrader, broker, or Telegram policies.
  • Misrepresent performance or offer financial advice under our brand.
  • Register multiple trial licenses using different emails to extend trial access.
  • Use the Service in any manner that violates applicable laws, regulations, or third-party rights.
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
  • Use automated systems (bots, scrapers) to access the Service except through official APIs.

We reserve the right to monitor, audit, and investigate any use of the Service to ensure compliance with these Terms. We may suspend or terminate access immediately, without notice or refund, for any violation. We may also report violations to law enforcement or regulatory authorities where appropriate.

4. Trading & Risk Disclaimer

SignalBridge is a technical automation tool that processes user-provided trading signals and commands. We do not provide trading recommendations, broker services, investment advice, portfolio management, or fiduciary functions. ALL trading and automation involves risk of financial loss. You assume full responsibility for configuration, position sizing, order logic, error handling, and failover strategies.

NO FINANCIAL LIABILITY: SignalBridge is a service tool that relies solely on user input and configuration. SignalBridge is NOT liable for any financial outcomes, profits, losses, or damages resulting from the use of this service, including but not limited to:

  • Financial losses or profits incurred due to misconfiguration, incorrect settings, or user error
  • Trading decisions, position sizing, or risk management choices made by the user
  • Connectivity issues, broker rejections, order execution delays, or platform outages
  • Signal processing errors, data transmission failures, or system interruptions
  • Any consequences arising from user-provided trading signals, strategies, or commands

Past performance of automated strategies is not indicative of future results. You must monitor systems for connectivity interruptions, broker rejects, order mismatches, or upstream platform outages.

Always validate on a demo environment before deploying to live accounts.

5. Payments, License Duration & Pricing

  • Payment Processors: Whop (fiat/card payments), and NOWPayments (crypto) handle secure checkout; SignalBridge never stores raw card data, CVV codes, or payment card details.
  • One-Time Payments: All licenses are one-time purchases. No automatic renewals or recurring billing.
  • License Duration:
    • 14-Day Trial License: 14 days of access
    • Monthly License: 30 days of access
    • Yearly License: 365 days of access
    • Lifetime License: Permanent access (never expires)
  • Renewal: When your license expires, you can renew anytime by purchasing a new license. No pressure, no automatic charges.
  • Price Changes: We may adjust license pricing or resource allocations. Active licenses remain unaffected until expiry.
  • Taxes: You are responsible for any applicable VAT/GST/import duties.
  • Currency: All prices are displayed in the currency selected at checkout. Exchange rates for crypto payments are determined by the payment processor at the time of transaction.
  • Payment Authorization: By completing a purchase, you authorize the payment processor to charge your payment method for the full amount. You are responsible for ensuring sufficient funds or credit availability.
  • Failed Payments: If a payment fails, your license will not be activated. We are not responsible for fees charged by your bank or payment provider for failed transactions.
  • Crypto Payment Finality: Payments made via cryptocurrency are final and irreversible once confirmed on the blockchain. Refunds for crypto payments are not available except as required by law or at our sole discretion. You acknowledge that crypto transactions cannot be reversed, charged back, or disputed through traditional payment channels.

6. Refunds & Digital Goods Policy

All license purchases are for digital goods (software licenses) that are delivered immediately upon purchase. Due to the immediate, non-returnable nature of digital goods, all sales are final unless:

  • A specific refund guarantee is expressly stated at the time of purchase (e.g., "30-Day Money Back Guarantee" promotional offer), and
  • You meet all eligibility requirements for that guarantee.

Refund Eligibility (where applicable):

  • Refund requests must be submitted within the stated guarantee window (if any).
  • Requests must include: purchase email, license key, and detailed reason.
  • Refunds are only available if material functionality fails due to a defect in the software, not due to misconfiguration, user error, third-party service failures, or incompatibility with your system.
  • We reserve the right to verify the issue and may require proof of the defect.
  • Approved refunds will revoke your license immediately upon processing.
  • Refunds will be processed to the original payment method within 5-10 business days.

Crypto Payments: Refunds for cryptocurrency payments are not available except as required by applicable law. Crypto transactions are final and irreversible once confirmed on the blockchain. You acknowledge that crypto transactions cannot be reversed, charged back, or disputed through traditional payment channels.

Chargebacks & Disputes: Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in immediate license revocation and may be considered fraudulent activity. We reserve the right to dispute chargebacks and provide evidence of license delivery and service provision. If a chargeback is initiated, we may suspend or terminate your account and any associated licenses.

Trial Licenses: Free trial licenses are not eligible for refunds as no payment is required.

Consumer Rights: Nothing in this policy limits your statutory rights as a consumer under applicable law, including rights under consumer protection legislation that may provide for refunds or remedies in certain circumstances.

7. Software Updates & Changes

We may push patches, feature updates, API adjustments, or security fixes. Some updates may be required for continued operation (e.g. protocol or endpoint changes). We may deprecate legacy features with reasonable notice where practical. All active licenses receive updates during their validity period. Lifetime licenses receive all future updates.

We do not guarantee that updates will be backward compatible. You are responsible for ensuring your system meets minimum requirements for updated versions. We may discontinue support for older versions with reasonable notice (minimum 30 days for major version changes).

8. Data Handling & Security

We store limited account, licensing, activation, and download information as defined in the Privacy Policy. Security measures including rate limiting, activity monitoring, and system integrity checks protect against unauthorized access. You are responsible for safeguarding your license key and local environment credentials.

9. Suspension/Termination

We may suspend or revoke a license (without refund) for: fraudulent activity, abuse, violation of law, security threats, or systematic attempts to bypass device/webhook limits. You may terminate by ceasing use; paid access continues until the license expiry date unless otherwise revoked. Licenses expire automatically at the end of their term (14 days, 30 days, 365 days, or never for Lifetime).

Upon termination or expiration of your license:

  • Your access to the Service will cease immediately (for termination) or at the end of your license term (for expiration).
  • You must immediately stop using the software and delete all copies from your systems.
  • We may retain your data as described in the Privacy Policy for compliance and recordkeeping purposes.
  • Sections that by their nature should survive termination (including but not limited to: Intellectual Property, Limitation of Liability, Indemnification, and Export Controls) will continue to apply.

10. Intellectual Property

All trademarks, logos, source code, configuration schemas, documentation, and interface elements are owned by SignalBridge (or its licensors). No rights are granted except the limited license defined herein.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE OR ERROR-FREE, OR THAT ANY DATA TRANSMITTED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE. WE DO NOT WARRANT THAT THE SERVICE WILL BE COMPATIBLE WITH ALL SYSTEMS, NETWORKS, OR THIRD-PARTY SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SIGNALBRIDGE, ITS AFFILIATES, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, LOST REVENUE, LOST TRADES, TRADING LOSSES, FINANCIAL LOSSES, SLIPPAGE, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR OPPORTUNITY COSTS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FINANCIAL/TRADING LOSSES EXCLUDED: SignalBridge explicitly disclaims any and all liability for financial outcomes, trading results, profits, losses, or damages of any kind resulting from the use of this service, regardless of the liability cap described below. The service processes user-provided signals and commands as-is, without validation of trading logic, risk parameters, or financial implications. All trading decisions, configurations, and outcomes are solely the responsibility of the user. SignalBridge is not a financial advisor, broker, or trading platform, and assumes no responsibility for the financial consequences of using this automation tool.

AGGREGATE LIABILITY CAP: Subject to the exclusions and carve-outs below, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service, regardless of the theory of liability, shall not exceed:

  • Paid License Holders: The amount you paid to SignalBridge for your current license in the twelve (12) months preceding the claim, or the amount paid for your current license fee (if purchased within the last 12 months), whichever is less.
  • Trial License Holders: Zero dollars ($0.00). Trial licenses are provided free of charge, and we assume no financial liability to trial users.

CARVE-OUTS (Non-Excludable Liabilities): Some jurisdictions do not allow the exclusion or limitation of certain types of damages. Nothing in this section is intended to exclude or limit our liability for:

  • Death or personal injury caused by our negligence or willful misconduct
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Any liability that cannot be excluded or limited under applicable law

THIRD-PARTY SERVICES: Our liability cap does not apply to claims arising from third-party services (TradingView, Telegram, MetaTrader, brokers, payment processors). We are not liable for any damages caused by third-party services, and you should refer to their respective terms and policies.

JURISDICTION LIMITATIONS: If you are located in a jurisdiction that does not allow the exclusion or limitation of liability as described above, some of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless SignalBridge from claims arising out of (a) your strategy logic, (b) misuse or redistribution of the software, (c) violations of third‑party platform terms, or (d) breach of these Terms.

This indemnification obligation will survive termination of these Terms and your use of the Service. We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Force Majeure

We are not liable for delays, failures, or inability to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, labor disputes, strikes, government actions, regulatory changes, cyberattacks, distributed denial-of-service attacks, payment processor failures, third-party service outages (including TradingView, Telegram, MetaTrader, or broker platforms), internet or telecommunications failures, hosting provider failures, API changes by third parties, or any other cause beyond our reasonable control.

If a force majeure event continues for more than 30 days, either party may terminate these Terms with written notice, and you will receive a pro-rated refund for any unused portion of your license (if applicable and as required by law).

15. Modifications

We reserve the right to modify these Terms at any time. Material changes (defined as changes that substantially affect your rights or obligations) will be communicated by:

  • Posting a prominent notice on the Service or website for at least 30 days before the changes take effect,
  • Sending an email to the address associated with your license (if you have an active license), and/or
  • Displaying a notice when you next access the Service.

Non-material changes (such as clarifications, formatting, or minor updates) may be made without notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your license (subject to refund eligibility as described in Section 6).

If you have an active paid license and material changes are made that substantially reduce your rights, you may be entitled to a pro-rated refund for the unused portion of your license, subject to our refund policy.

16. Third-Party Services & Integrations

The Service integrates with and relies on third-party platforms and services, including but not limited to: TradingView, Telegram, MetaTrader, broker platforms, payment processors (Whop, NOWPayments), and hosting providers.

WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, FUNCTIONALITY, ACCURACY, OR RELIABILITY OF ANY THIRD-PARTY SERVICE. We do not control, endorse, or assume any responsibility for third-party services, their terms of service, privacy policies, or practices.

You acknowledge that:

  • Third-party services may change their APIs, terms, or discontinue services at any time without notice to us.
  • Failures, outages, or changes in third-party services may affect the functionality of the Service.
  • We are not liable for any losses, damages, or issues arising from third-party service failures, changes, or discontinuation.
  • You are responsible for complying with all third-party terms of service and policies.
  • We may need to modify or discontinue integrations if third-party services become unavailable or change their terms.

We make reasonable efforts to maintain integrations, but we do not guarantee continued compatibility or availability of any third-party integration.

17. Export Controls & Sanctions Compliance

The Service and software are subject to export control laws and regulations, including but not limited to those of the United States, European Union, and other applicable jurisdictions.

You agree that:

  • You will not export, re-export, or transfer the Service or software to any country, person, or entity subject to trade sanctions or embargoes.
  • You are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions.
  • You are not on any restricted or denied party list maintained by any government.
  • You will comply with all applicable export control and sanctions laws.

We reserve the right to refuse service, terminate licenses, or restrict access to any user who violates or may violate export control or sanctions laws.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will remain in full force and effect.

The invalid provision will be replaced with a valid provision that comes closest to the intent of the original provision.

19. Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment without consent is void.

We may assign, transfer, or delegate these Terms, in whole or in part, to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets, without your consent.

20. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of SignalBridge.

21. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and SignalBridge regarding the Service and supersede all prior or contemporaneous agreements, understandings, communications, or representations, whether oral or written.

No modification, amendment, or waiver of any provision of these Terms will be effective unless in writing and signed by both parties (or, for modifications by us, as described in Section 15).
